Design Study

Note: Parties that express an interest in investing in an egX Marketplace (Interested Party) can retain egX Group to conduct a Design Study. The Design Study is a feasibility study – a fact finding mission – to determine the requirements to obtain recognition/authorization to operate an exchange in the study jurisdiction.

To develop and implement a new egX Marketplace, we begin the process by conducting a Design Study to determine the commercial, functional, regulatory, technical, and legal requirements for that jurisdiction. The corporate structure to be used for the operations of the egX Marketplace will be determined on a case-by-case basis following the completion of the Design Study. The Design Study examines important issues such as the regulatory environment for the exchange and for issuers, local tax laws, types of securities to be listed, and listing opportunities. The interested party’s local business knowledge, coupled with egX Group’s expertise and experience, will provide the framework for the successful development and implementation of the new egX Marketplace.

The findings of the Design Study will include research in the following areas:

• Criteria for fair and transparent access
• Trading operations – systems and protocols
• Operational environment – securities legislation compliance and controls
• Vendors for software, hardware, and networking services

• Exchange, participant, issuer regulation
• Clearing and settlement
• Outsourcing arrangements

• Corporate organization
• Tax issues (corporate, employee, payroll taxes, asset taxes, and filings)
• Corporate Governance for management and regulatory function oversight
• Administration policies

• Protecting public interest and maintaining market integrity
• Identifying and managing conflicts of interest
