egX Markets Inc. is a wholly-owned subsidiary of egX Group and is responsible for the hosting and managing of all egX related online services required for the operations of egX Marketplaces.

egX Markets will manage the sale of market data and act as a valuable resource to the egX Marketplaces and will provide the following services required in the operations of egX Marketplaces:

• Trading and surveillance systems (supplied to egX Markets pursuant to various agreements with Nasdaq OMX Group Inc.
• Host and maintain the www.egXWorld.com and various egX Marketplaces websites
• Host and maintain the egX online filing system developed to gather egX listed issuer information and public disclosures (supplied by egX)
• Host and maintain the egX online management and administration system to effectively operate and manage an egX Marketplace (supplied by egX)
• Produce and distribute market data generated from the trading activities of egX Marketplaces

In addition, egX Markets will host, maintain and support:

• The website for each individual egX Marketplace
• egX’s online filing workflow system developed to manage all egX listed issuer submissions and information
• egX’s online management and administration system for marketplace operations

egX Markets will generate revenues from the deployment and operations of egX Marketplaces around the world. All egX Marketplaces will be established and operate pursuant to an “Operating License Agreement” from egX Markets.
